Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the RezRank platform (“Service”) operated by RezRank (“RezRank,” “we,” or “us”). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms.

1. Eligibility & Accounts

You must be at least 18 years old and authorized to bind your employer to these Terms. You are responsible for everything that happens under your account, including the actions of users you invite.

2. Acceptable Use

• You will use the Service only to evaluate candidates for legitimate hiring decisions made by your organization.
• You will not reverse engineer, decompile, scrape, or attempt to extract source code, AI prompts, or model weights.
• You will not benchmark the Service for competitive purposes or use outputs to train a competing product.
• You will not upload candidate data you do not have lawful authority to process.
• You will not use the Service to discriminate against protected classes under applicable employment law.

3. Customer Data

“Customer Data” means the resumes, job descriptions, and notes you upload. You retain all rights in Customer Data. You grant RezRank a worldwide, non-exclusive license to process Customer Data solely to provide and improve the Service for you.

We do not use your Customer Data to train foundation models. We do not sell or share Customer Data with third parties for advertising.

4. AI Output

Rankings, summaries, and interview questions generated by the Service are “AI Output.” AI Output is provided for informational and decision-support purposes only. You are solely responsible for any hiring decision. RezRank does not make hiring decisions on your behalf. You must independently validate AI Output against your own criteria, applicable employment law, and your organization’s policies.

5. Subscriptions, Billing & Cancellation

• Subscriptions are billed by Stripe in advance per the plan you select.
• Annual plans are billed upfront for the year at 10× the monthly rate (equivalent to 2 months free versus monthly billing).
• You may cancel any time via the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period; no partial refunds.
• If a payment fails, we may suspend access after 7 days’ notice.
• Seat counts are enforced per plan. Adding seats beyond your plan’s cap requires upgrading.

6. Confidentiality

Each party will protect the other’s Confidential Information with the same degree of care it uses to protect its own confidential information of similar importance, and at minimum a reasonable degree of care. The mutual NDA you accepted at signup applies in addition to these Terms.

7. Intellectual Property

RezRank retains all rights in the Service, including software, models, prompts, rubrics, user interface, and brand. No rights are transferred to you except the limited right to use the Service under these Terms.

8. Termination

Either party may terminate for material breach with 30 days’ notice and an opportunity to cure. Upon termination you may export your Customer Data for 30 days; after that, we may delete it from production systems.

9. Warranties & Disclaimers

We provide the Service “as is.” To the maximum extent permitted by law, RezRank disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the Service is uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. RezRank’s aggregate liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You will defend and indemnify RezRank against claims arising from your Customer Data, your hiring decisions, or your breach of these Terms. RezRank will defend you against third-party claims that the Service infringes their intellectual property, subject to our reasonable control of the defense.

12. Governing Law

These Terms are governed by the laws of the State of New Hampshire, USA, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in New Hampshire.

13. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect.
