1. Purpose. This Mutual Non-Disclosure Agreement ("Agreement") governs the exchange of confidential information between you (the "Subscriber") and RezRank, Inc. ("RezRank") in connection with your evaluation, trial, or use of the RezRank Talent Intelligence Platform (the "Platform").
2. Confidential Information. "Confidential Information" includes, without limitation: (a) Subscriber's candidate resumes, job descriptions, hiring data, and recruiting workflows; (b) RezRank's scoring methodology, model architecture, prompts, evaluation rubrics, software features, pricing, roadmap, and business processes; and (c) any other information marked or reasonably understood as confidential.
3. Obligations. Each party agrees to (i) hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information; (ii) use such information solely for the purpose of evaluating or using the Platform; and (iii) not disclose such information to any third party without prior written consent, except to employees and contractors bound by equivalent confidentiality obligations.
4. Exclusions. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without confidentiality obligations; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law, provided that reasonable notice is given when legally permitted.
5. Candidate Data. RezRank will not use Subscriber's candidate data to train shared or third-party models. Candidate data is processed solely to deliver scoring and intelligence outputs to Subscriber and is retained per the published Data Processing Addendum.
6. Term. This Agreement remains in effect for the duration of Subscriber's account and for two (2) years thereafter. Provisions relating to perpetual trade secrets survive indefinitely.
7. No License. Nothing in this Agreement grants either party any right or license, by implication or otherwise, in any Confidential Information except as expressly stated.
8. Electronic Signature. Subscriber's typed name and affirmative checkbox in the RezRank signup flow constitutes a legally binding electronic signature pursuant to the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and equivalent laws.
9. Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
